Terms & Conditions

Please read these Terms & Conditions ("Terms") carefully before accessing this website or using any services offered by Reachly Co., Ltd. ("Reachly", "we", "us", or "our"). By accessing or using our website or services on behalf of your business, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

1. Overview

1.1 The Services

These Terms govern access to and use of the Reachly website ("Website") and the products, services, features, content, and applications offered by Reachly (collectively, the "Services").

Reachly provides B2B lead generation and related consulting services, including but not limited to:

  • Data sourcing and prospect research
  • Messaging campaign development and management
  • LinkedIn profile optimisation and content creation
  • Multi-channel outreach strategies

1.2 Parties

These Terms constitute a legally binding agreement between Reachly Co., Ltd., a company incorporated under the laws of the Kingdom of Thailand, company registration number 0105566191796, located at:

29 Vanissa Building, Tower B, 14th Floor, Soi Chidlom, Ploenchit Road, Lumpini, Pathumwan, Bangkok, Thailand

and "You", meaning the business or legal entity on whose behalf an authorised representative accesses or uses the Services.

1.3 Business Use Only

The Services are intended solely for business use. By entering into these Terms on behalf of a company or organisation, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Definitions

Client Data: Any data, lists, files, exports, credentials, or information provided by the Client to Reachly in connection with the Services.

DNC List: Any dataset identifying contacts that must not be contacted, including suppression lists, unsubscribes, existing customers, competitors, internal staff, or blocked domains.

User Account: An account created by or on behalf of the Client to access the Services.

Subscription Fee: The recurring payment for the Services based on the selected subscription tier.

Subscription Period: Each thirty-day billing cycle during the term of the subscription.

3. Services & Usage

3.1 Scope of Services

Reachly provides done-for-you B2B lead generation services using data sourcing, messaging campaigns, LinkedIn content creation, and other outreach strategies. Reachly grants the Client a non-exclusive, non-transferable, revocable license to access and use the Services for internal business purposes only.

3.2 Use of Third-Party Tools & AI

Reachly may use third-party platforms, APIs, and artificial intelligence tools in order to perform the Services. These may include data providers, automation tools, enrichment software, and messaging platforms. While Reachly exercises reasonable care when selecting these tools, their functionality and availability are outside Reachly's control.

3.3 No Guarantee of Results

No specific results are guaranteed. Lead volume, conversion rates, and campaign performance vary based on multiple external factors including market conditions, messaging alignment, and prospect behaviour. Refunds or adjustments will not be issued based on campaign performance unless explicitly agreed in writing.

3.4 Intellectual Property

Reachly retains all rights, title, and interest in the Services including: Software, Campaign frameworks, Designs, Data models, Methodologies, and Written materials. Nothing in these Terms transfers ownership of the Services to the Client.

3.5 Prohibited Activities

You agree not to: Resell or redistribute the Services; Use the Services for illegal or fraudulent activity; Attempt to bypass security features; Upload malicious code or viruses.

4. Account Registration

4.1 User Accounts

To access the Services, a Client representative must create a User Account and complete payment through our payment portal (powered by Stripe). You are responsible for maintaining the confidentiality of login credentials.

4.2 Authority

By creating an account or placing an order, you confirm that: You have authority to bind the Company; The information provided is accurate; The Services will be used for lawful business purposes.

4.3 Security Notification

If you suspect any unauthorised access or security breach, you must notify us immediately at: hello@reachly.co

5. Subscriptions & Billing

5.1 Minimum Subscription Term

The minimum subscription commitment is six (6) months, billed monthly. Each billing cycle represents approximately thirty (30) days.

5.2 Automatic Billing

By subscribing, you authorise Reachly to automatically charge your designated payment method each month. If payment fails, Reachly may suspend campaigns until payment is resolved.

5.3 Renewal

After the initial six-month period, the subscription continues on a month-to-month basis until cancelled.

5.4 Cancellation

Following the initial term, cancellation requires 30 days written notice submitted through your assigned Reachly account manager. Failure to provide sufficient notice will result in billing for the following month. Early termination during the initial six-month commitment is not permitted unless otherwise agreed.

5.5 Chargebacks

If a chargeback is initiated that contradicts these Terms, the Client remains responsible for: Outstanding subscription fees and Any chargeback processing fees incurred.

5.6 Taxes

All fees exclude applicable taxes unless otherwise stated. The Client is responsible for any required taxes.

6. Client Responsibilities

6.1 Onboarding Cooperation

The Client must provide timely access, approvals, and feedback during onboarding. Delays caused by the Client do not pause billing or extend service periods.

6.2 Legal Compliance

Reachly will comply with applicable data protection laws when sourcing or processing prospect data. However, the Client remains responsible for ensuring their own marketing activities comply with all relevant regulations.

6.3 Accurate Information

The Client must provide accurate, complete, and current information at all times.

6.4 Messaging Approval

Campaign messaging is typically written by Reachly. If the Client insists on using their own messaging, Reachly is not responsible for campaign performance outcomes.

6.5 Channel Changes

Services are designed around multi-channel outreach. If the Client chooses to suspend a channel, Reachly is not required to increase activity elsewhere. Subscription fees remain unchanged.

7. Limitation of Liability

7.1 Services Provided "As Is": Services are provided on an "as is" basis without guarantees of uninterrupted performance.

7.2 Indirect Damages: Neither party shall be liable for indirect, incidental, or consequential damages including lost revenue or profits.

7.3 Indemnification: The Client agrees to defend and indemnify Reachly against claims arising from: Breach of these Terms or Illegal use of the Services.

8. Confidentiality

8.1 Confidential Information

Confidential Information includes any non-public business, technical, or financial information shared between the parties. This includes Client Data and DNC Lists.

8.2 Obligations

Both parties agree to: Use confidential information only for service delivery; Restrict access to authorised personnel; Maintain appropriate security safeguards. Client Data will never be used for marketing, case studies, or demonstrations without consent.

8.3 Exceptions

Confidentiality obligations do not apply to information that is: Publicly available; Independently developed; Required to be disclosed by law.

9. Force Majeure

Reachly shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, government action, internet outages, or labour disputes.

10. Miscellaneous

10.1 Amendments: Reachly may update these Terms at any time. Continued use of the Services constitutes acceptance of the revised Terms.

10.2 Marketing: Unless otherwise requested in writing, Reachly may reference the Client's name, logo, and general results in marketing materials.

10.3 Severability: If any provision is found unenforceable, the remainder of the Terms remain valid.

10.4 No Partnership: Nothing in these Terms creates a partnership, joint venture, or agency relationship.

11. Term & Termination

11.1 Term: These Terms remain in effect for the duration of the Client's subscription.

11.2 Termination for Cause: Reachly may terminate access if: The Client breaches these Terms or Payment obligations are not met.

11.3 Effect of Termination: Upon termination: Access to the Services ceases; Outstanding fees become immediately payable; Campaign data will be deleted from Reachly systems.

12. Governing Law & Jurisdiction

These Terms shall be governed by the laws of the Kingdom of Thailand. Both parties agree to the exclusive jurisdiction of the courts of Thailand. Reachly may seek injunctive relief in any appropriate jurisdiction to protect its intellectual property or confidential information.
